1. Agreement to These Terms

This Seller Agreement governs the relationship between Khhonda LLC, operating Khhonda Marketplace (“Khhonda”), and each seller who registers for, accesses, or uses the marketplace to offer products or services for sale.

By creating a seller account, submitting a seller application, listing products, or selling through Khhonda Marketplace, you agree to comply with this Seller Agreement, Khhonda’s Terms & Conditions, Refund & Returns Policy, Privacy Policy, and all other marketplace rules and policies that apply to sellers.

Sellers operate as independent businesses and are responsible for their own products, listings, business activities, licenses, permits, taxes, and compliance with applicable laws, except where applicable law specifically places an obligation on Khhonda as the marketplace operator.

2. Seller Eligibility and Account Information

To sell on Khhonda Marketplace, sellers must provide accurate, current, and complete information when creating and maintaining their seller account.

Sellers are responsible for keeping their contact information, business information, store information, payout information, and other required information current.

Khhonda may request documentation or additional information to verify a seller’s identity, business information, payment information, or eligibility to sell on the marketplace.

Sellers must not create accounts using false information, impersonate another person or business, or allow unauthorized persons to use their seller account.

Khhonda may approve, reject, suspend, restrict, or terminate seller accounts when necessary to protect customers, the marketplace, comply with law, investigate suspected violations, or enforce marketplace policies.

3. Product Listings and Seller Responsibilities

Sellers are responsible for ensuring that all product listings are accurate, complete, and not misleading.

Product titles, descriptions, photographs, prices, quantities, condition, availability, shipping information, and other listing details must accurately represent the product being offered.

Sellers may only offer products they are legally permitted to sell.

Sellers must not list counterfeit, stolen, fraudulent, unsafe, prohibited, recalled, infringing, or otherwise unlawful products.

Product claims, including claims relating to quality, origin, performance, health benefits, authenticity, or other characteristics, must be truthful and supported when required by law. Federal advertising rules generally require advertising claims to be truthful, non-deceptive, and appropriately substantiated. (Federal Trade Commission)

Khhonda reserves the right to review, reject, remove, restrict, or disable any listing that violates marketplace policies or applicable law.

4. Product Ownership and Intellectual Property

Sellers represent that they own, are authorized to sell, or otherwise have the legal right to offer every product listed through their store.

Sellers are responsible for ensuring that product listings, photographs, logos, trademarks, descriptions, designs, and other content do not violate the intellectual property rights of another person or business.

By uploading content to Khhonda, the seller grants Khhonda a non-exclusive, worldwide, royalty-free license to display, reproduce, format, and use that content as reasonably necessary to operate, advertise, and promote the marketplace and the seller’s products.

Khhonda may remove content or listings when it receives a valid intellectual property complaint or otherwise reasonably believes infringement may have occurred.

5. Marketplace Fees and Commission

There is currently no listing fee to publish eligible products on Khhonda Marketplace.

Khhonda currently charges a 15% marketplace commission on qualifying seller sales.

The applicable commission, transaction adjustments, refunds, chargebacks, payment-processing costs where applicable, or other authorized fees may be deducted from seller earnings.

Khhonda may modify its fees or commission structure in the future. Sellers will be provided notice of material changes as required or reasonably appropriate before the revised fee structure applies.

Continued use of the marketplace after a revised fee structure becomes effective constitutes acceptance of the updated fees.

6. Orders and Fulfillment

Sellers are responsible for monitoring and processing orders received through their seller dashboard.

Sellers must fulfill confirmed orders accurately and within the handling or processing time communicated to the customer.

Sellers must ensure that the correct product, quantity, size, variation, and other specifications purchased by the customer are fulfilled.

A seller must not mark an order as shipped or completed when the order has not actually reached the applicable stage of fulfillment.

Khhonda may cancel or refund orders when reasonably necessary to protect a customer, resolve a dispute, comply with law, or enforce marketplace policies.

7. Shipping and Delivery

Unless Khhonda expressly provides otherwise, individual sellers are responsible for packaging and shipping their products.

Sellers must package products appropriately to reduce the risk of loss or damage during transportation.

Sellers must comply with the shipping methods, costs, locations, processing times, and delivery information displayed or communicated to customers.

Tracking information should be provided when available or required.

Sellers are responsible for accurately configuring the shipping options available for their store and may only accept orders that they are capable of fulfilling.

Sellers are responsible for complying with applicable shipping, carrier, customs, import, export, and product transportation requirements.

8. Returns, Refunds, Cancellations, and Disputes

Sellers must comply with Khhonda’s Refund & Returns Policy and any seller-specific return obligations communicated to customers.

Sellers must cooperate with reasonable customer requests involving damaged, defective, incorrect, missing, misrepresented, or otherwise eligible products.

Khhonda may review disputes between buyers and sellers and may issue refunds, credits, adjustments, or other remedies when reasonably necessary under marketplace policies or applicable law.

Where a refund, chargeback, reversal, or adjustment relates to a seller transaction, Khhonda may deduct the applicable amount from the seller’s available balance, future earnings, or other amounts payable to the seller where legally permitted.

Sellers must cooperate with Khhonda in investigating disputes, payment claims, chargebacks, fraud reports, and customer complaints.

9. Seller Payments and Withdrawals

Seller earnings from completed sales are recorded in the seller’s marketplace balance after applicable commissions, refunds, adjustments, chargebacks, and other authorized deductions.

Funds become eligible for withdrawal according to Khhonda’s current payout schedule, withdrawal requirements, payment-provider requirements, and marketplace policies.

Khhonda may temporarily hold or delay seller funds where reasonably necessary to investigate fraud, disputes, chargebacks, refunds, suspicious transactions, violations of marketplace policies, payment-provider requirements, or legal obligations.

Sellers are responsible for providing accurate payout information.

Khhonda is not responsible for delays caused by incorrect seller information, banking institutions, payment processors, verification requirements, or circumstances outside Khhonda’s reasonable control.

10. Taxes

Sellers are responsible for understanding and complying with tax obligations applicable to their business, income, products, and activities.

Where applicable law requires Khhonda to collect, report, or remit marketplace taxes on a transaction, Khhonda may perform those obligations directly.

Where Khhonda is not legally required to collect or remit a particular tax, the seller remains responsible for determining and satisfying applicable seller tax obligations.

Sellers must provide tax information reasonably requested by Khhonda or its payment providers for tax reporting, verification, or legal compliance.

11. Seller Verification and Legal Compliance

Khhonda may collect and verify information relating to sellers where required by law, payment providers, fraud-prevention procedures, or marketplace policies.

Certain high-volume third-party sellers may be subject to additional identity, banking, tax, contact-information, certification, or disclosure requirements under applicable law.

Sellers agree to cooperate with lawful verification requests and provide accurate documentation within the requested timeframe.

Failure to provide required information may result in listing restrictions, payout holds, suspension, or termination of the seller account.

12. Customer Service and Seller Conduct

Sellers must communicate with customers professionally and honestly.

Sellers must not harass, threaten, discriminate against, deceive, manipulate, or abuse customers, other sellers, Khhonda personnel, or other marketplace users.

Sellers must make reasonable efforts to respond to legitimate order and customer-service inquiries in a timely manner.

Sellers must not attempt to manipulate reviews, ratings, transactions, search results, customer information, or marketplace systems.

13. Transactions Outside Khhonda

Sellers must not use Khhonda primarily to identify customers and then intentionally redirect transactions outside the marketplace for the purpose of avoiding marketplace fees, commissions, protections, or policies.

Khhonda may restrict or terminate accounts that attempt to circumvent marketplace transactions or fees.

Nothing in this section prevents sellers from operating independent businesses or selling through other legitimate sales channels outside transactions initiated through Khhonda.

14. Customer Information and Privacy

Customer information obtained through Khhonda may only be used as reasonably necessary to fulfill orders, provide customer service, comply with legal obligations, or perform another authorized marketplace purpose.

Sellers must not sell, misuse, improperly disclose, harvest, or use customer information for unauthorized purposes.

Sellers are responsible for safeguarding customer information in their possession and complying with applicable privacy and data-protection laws.

15. Prohibited Activities

Sellers must not:

  • Engage in fraudulent or deceptive activity.

  • Sell illegal, counterfeit, stolen, recalled, unsafe, or prohibited products.

  • Create fake orders, reviews, ratings, or transactions.

  • Manipulate prices, marketplace systems, search functions, or customer activity.

  • Provide false identity, business, banking, tax, or product information.

  • Infringe intellectual property rights.

  • Use Khhonda to facilitate unlawful activity.

  • Attempt unauthorized access to Khhonda systems or other user accounts.

  • Circumvent fees, commissions, account restrictions, or marketplace enforcement measures.

16. Suspension and Termination

Khhonda may remove listings, restrict marketplace features, place reasonable holds on funds, suspend seller privileges, or terminate seller accounts when a seller violates this Agreement, applicable marketplace policies, payment-provider requirements, or applicable law.

Khhonda may also take action when reasonably necessary to protect customers, other sellers, the marketplace, or Khhonda from fraud, abuse, security threats, financial loss, legal exposure, or other significant risk.

Where appropriate, sellers may be given notice or an opportunity to resolve an issue, but Khhonda may act immediately when circumstances reasonably require it.

Termination of a seller account does not eliminate obligations arising from transactions completed before termination, including refunds, chargebacks, outstanding fees, customer claims, or other amounts owed.

17. Independent Seller Relationship

Sellers are independent businesses and are not employees, agents, partners, franchisees, or representatives of Khhonda.

Nothing in this Seller Agreement creates an employment relationship, partnership, joint venture, franchise, or agency relationship between Khhonda and a seller.

Sellers control their own business operations subject to marketplace requirements and applicable law.

Sellers have no authority to make commitments, representations, agreements, or warranties on behalf of Khhonda.

18. Seller Responsibility and Indemnification

To the extent permitted by applicable law, sellers are responsible for claims, losses, damages, penalties, expenses, or liabilities arising from their products, listings, business activities, legal violations, intellectual property violations, fulfillment failures, or breach of this Seller Agreement.

To the extent permitted by applicable law, sellers agree to defend, indemnify, and hold harmless Khhonda LLC and its officers, employees, contractors, affiliates, and representatives from third-party claims arising from the seller’s products, conduct, listings, violation of law, infringement of third-party rights, or breach of this Agreement.

This provision does not require a seller to indemnify Khhonda for liability that applicable law does not permit Khhonda to transfer to the seller.

19. Marketplace Role and Limitation of Liability

Khhonda provides technology and marketplace services that allow independent sellers and customers to connect and transact.

Unless expressly stated otherwise, products offered by third-party sellers are sold by those sellers and not manufactured, owned, or supplied by Khhonda.

Khhonda does not guarantee that every seller, buyer, listing, product, transaction, shipping service, or third-party service will be error-free or uninterrupted.

To the maximum extent permitted by applicable law, Khhonda will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from a seller’s use of the marketplace.

Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.

20. Changes to the Seller Agreement

Khhonda may update this Seller Agreement as the marketplace, services, laws, payment systems, or business requirements change.

Material updates may be communicated through the website, seller dashboard, email, or another reasonable method.

The updated agreement will indicate its effective or last-updated date.

Continued use of Khhonda Marketplace after an updated agreement becomes effective constitutes acceptance of the revised Agreement to the extent permitted by law.

21. Governing Law

This Seller Agreement is governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute relating to this Agreement will be handled in accordance with Khhonda’s applicable dispute-resolution terms and governing law.

22. Severability

If any provision of this Seller Agreement is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

23. Entire Agreement

This Seller Agreement, together with Khhonda’s Terms & Conditions, Privacy Policy, Refund & Returns Policy, and other policies incorporated by reference, constitutes the applicable marketplace agreement between Khhonda and sellers concerning seller activity on the platform.
